Terms and Conditions PublishLayer

B2B SaaS Platform

Article 1. Definitions

  • PublishLayer: the Netherlands-based company operating the PublishLayer SaaS platform.
  • Customer: any natural person or legal entity acting in the exercise of a profession or business that enters into an agreement with PublishLayer.
  • Platform: the online SaaS application PublishLayer including AI functionalities, credit system, API, and integrations with external systems such as WordPress.
  • Account: access to the Platform through unique login credentials.
  • Subscription: periodic access to the Platform for a fixed fee.
  • Credits: prepaid units used to perform AI-based content generation.
  • Content: all data entered by Customer and all output generated by the Platform.

Article 2. Applicability

  • These terms apply exclusively to agreements with business customers.
  • PublishLayer is intended exclusively for B2B use.
  • Customer general terms and conditions are explicitly excluded.

Article 3. Services

  • PublishLayer provides an AI content and workflow platform enabling Customer to:
  • a. create briefings
  • b. generate AI-produced content through credits
  • c. manage and revise content
  • d. export or publish content via WordPress integrations
  • PublishLayer has an obligation of effort and not an obligation of result.
  • Functionalities may be changed or expanded.

Article 4. Subscriptions and Credits

  • Use of the Platform requires an active subscription.
  • Additional AI functionality is charged through credits.
  • All amounts displayed on the website and within the Platform are inclusive of VAT.
  • Credits are prepaid and non-refundable.
  • Unused credits do not expire during an active subscription period unless stated otherwise.
  • PublishLayer may adjust prices with a reasonable notice period.

Article 5. Payment

  • Payment is made in advance via an external payment provider such as Mollie.
  • Subscriptions renew automatically unless cancelled in time.
  • In case of non-payment, access to the Platform may be suspended.

Article 6. AI-Generated Content

  • AI output is automatically generated based on Customer input.
  • PublishLayer does not guarantee that output is:
  • a. factually correct
  • b. legally correct
  • c. free from third-party rights
  • Customer is fully responsible for review, editing, and publication of content.
  • PublishLayer is not liable for damage resulting from publication of AI-generated content.

Article 7. WordPress and External Integrations

  • The Platform can connect with external systems such as WordPress via API or plugin.
  • PublishLayer is not responsible for:
  • a. changes in external APIs
  • b. security vulnerabilities in external systems
  • c. incorrect configuration by Customer
  • Customer remains responsible for final publication on external systems.

Article 8. Intellectual Property

  • All rights to the Platform are vested in PublishLayer.
  • Customer obtains a non-transferable right of use.
  • Content entered by Customer remains the property of Customer.
  • AI output may be used commercially by Customer at its own responsibility.

Article 9. Liability

  • Total liability is limited to the amount paid by Customer in the 12 months preceding the damaging event.
  • Liability for indirect damage is excluded.
  • Limitations do not apply in cases of intent or gross negligence.

Article 10. Termination

  • Subscriptions run for the selected term.
  • Cancellation must occur before renewal.
  • PublishLayer may immediately suspend accounts for violation of the AUP.

Article 11. Governing Law

  • All agreements are governed by Dutch law.
